By your purchase you agree that, except as expressly permitted, you shall not permit any third party to (i) download or make copies (print or electronic), publish distribute or share the Data that you license through VanillaSoft, and you will use best efforts to prevent the use of the Data by any third party; (ii) use the Data to build a competitive database or service; (iii) use the Data in a way that would violate any applicable laws or to promote illegal activities; or (iv) violate the privacy rights of any third party.

You agree to comply with all applicable privacy-related laws, including but not limited to : (A) the California Consumer Privacy Act and Regulations (“CCPA”) along with any amending legislation; (B) the Federal CAN-SPAM act and Canada’s Anti-Spam legislation, along with any amending legislation; (C) the General Data Protection Regulation (“GDPR”) along with any amending legislation; and (D) any other equivalent and applicable laws in any relevant jurisdiction that regulate the privacy and use of Personal Data, including federal and state do-not-call lists. VanillaSoft may suspend services upon violation of any of the restrictions set forth above and, in addition to any other damages permitted under the law, is entitled to seek injunctive relief, including legal and court fees, should you or any person using the Data through your account, knowingly breach any material term of this Agreement.

VanillaSoft and its licensors make no representation, warranty, or guaranty as to the reliability, timeliness, quality, suitability, availability, accuracy or completeness of the service or any content. VanillaSoft and its Licensors do not represent or warrant that (A) any stored data will be accurate or reliable; (B) the quality of any products, services, information, or other material purchased or obtained by you through the service will meet your requirements or expectations; or (C) errors or defects will be corrected. The service and all content is provided to you strictly on an “As Is” basis. All conditions, representations, and warranties, whether express, implied, statutory or otherwise, including, without limitation, any implied warranty of merchantability, fitness for a particular purpose, or non-infringement of third-party rights, are hereby disclaimed to the maximum extent permitted by applicable law by VanillaSoft and its licensors.
